These Terms of Use ("Terms") govern your use of the websites, mobile applications, and software services (collectively, the "Services") provided by SommLogic LLC ("SommLogic," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

By creating an account, downloading an application, or accessing any SommLogic service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

3. Use of Services

6. Payment Terms
Paid services are subject to the payment terms agreed upon at the time of purchase. Subscription fees are billed in advance and are non-refundable except as expressly stated in your agreement with us.
7. Limitation of Liability
To the maximum extent permitted by law, SommLogic LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
9. Indemnification
You agree to indemnify, defend, and hold harmless SommLogic LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Services or violation of these Terms.
10. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason upon notice. Upon termination, your right to use the Services ceases immediately.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Sonoma County, California.
